Terms of Service

1. The agreement

These Terms of Service ("Terms") are between you ("Customer", "you") and SASU Kaupr Europe ("Kaupr", "we", "us"), registered in France with offices at Antibes. By creating an account, integrating the Kaupr Search service ("Service"), or accepting a paid plan, you agree to these Terms.

2. The Service

Kaupr is a hosted product-search and analytics service. Customer installs an HTML/JS widget on a website; Kaupr indexes the catalog; end users (visitors to the Customer's site) issue search queries that Kaupr processes and returns matching products to. Kaupr also records anonymised search analytics and (where the Customer enables it) order-attribution data.

2.1 Account creation

You create an account by providing an email address. We send a single-use sign-in link to that address. You are responsible for the security of the email account and any actions taken via your account.

2.2 Plans and quotas

Kaupr is offered on Free, Starter, and Growth plans. Quotas (products indexed, searches per month) are listed in the dashboard. We may soft-cap usage at quota with a degraded service mode rather than hard-cutoff; see the dashboard for current state.

3. Customer responsibilities

• You ensure you have the right to share the catalog data and imagery you index with Kaupr.
• You provide a privacy notice on your own site disclosing the use of search analytics. We supply a sample notice; localisation is your responsibility.
• You do not attempt to reverse-engineer, scrape, or otherwise probe the Service outside its documented APIs.
• You comply with all applicable laws — including export control, consumer protection, and data protection — in your use of Kaupr.

4. Fees, billing, refunds

Paid plans are billed monthly via Stripe in EUR. Fees are set out in the dashboard at the time of subscription. Sales tax / VAT is applied per Stripe Tax based on your billing address.

Cancellations take effect at the end of the current billing period. No partial-month refunds are issued. If you are unsatisfied within the first 14 days of a paid plan, contact us at hello@kaupr.com and we will review your case.

5. Term and termination

These Terms remain in force while you have an active account. Either party may terminate at any time. On termination, we cease processing new searches; analytics data is retained for 30 days then deleted unless you request earlier deletion.

6. Intellectual property

You retain ownership of your catalog data. We retain ownership of the Service, including the indexing pipeline, search ranking models, and widget code. You grant us a non-exclusive licence to process your catalog and queries for the purpose of providing the Service.

Aggregated and de-identified usage signals (e.g., that a query returned zero results) may be used to improve search quality across the platform. Raw queries and individual session traces are scoped to the Customer they came from and are not shared with other Customers.

7. Confidentiality

Each party will protect the other's Confidential Information with the same degree of care it uses for its own, and not less than reasonable care. Confidential Information does not include information that is publicly available, was independently developed, or is required to be disclosed by law.

8. Warranties and disclaimers

The Service is provided on an "as is" basis. We do not warrant that search results will be complete or that the Service will be uninterrupted. To the maximum extent permitted by applicable law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by applicable law, our aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees paid by you in the twelve months preceding the claim, or (b) EUR 100. This limit does not apply to claims arising from gross negligence or wilful misconduct.

10. Data protection

Our Privacy Policy, available at /legal/privacy, describes how we handle personal data. For Customers acting as data controllers, our Data Processing Agreement at /legal/dpa forms part of these Terms.

11. Changes to these Terms

We will notify you at least 30 days in advance of any material change via the email address on your account. Continued use after the effective date of a change constitutes acceptance.

12. Governing law

These Terms are governed by French law. Any disputes shall be submitted to the competent courts of Antibes, France, unless mandatory consumer-protection laws in your country of residence require otherwise.
